Adealo Terms of Service

These Terms of Service ("Terms") govern access to and use of Adealo's software platform, including our website, dashboard, APIs, integrations, customer messaging widget, and AI-powered features (collectively, the "Service").
By creating an account, using the Service, or accepting these Terms, you agree to be bound by them.
If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity. In that case, "Customer," "you," and "your" refer to that entity.

Adealo provides customer communication and support software, including real-time messaging widgets, dashboards, automation tools, and AI-assisted features.
We may modify, update, or improve the Service over time. We may add or remove features or functionality, provided that we do not materially reduce the core functionality of paid subscriptions during an active billing period.
You are responsible for:
Verified AI Outcome. A completed question resolution, qualified lead, booked demo, or arranged callback that Adealo verifies from server-owned evidence and attributes to AI execution. Provisional, failed, duplicate, spam, abandoned, test, Human-only, self-service, or mixed-executor activity is not billable.
One-charge safeguard. Adealo reports at most one billable Verified AI Outcome per conversation. A conversation may become eligible for a new outcome after seven days without visitor activity. If several outcomes occur in one eligible conversation, Adealo records them for analytics but reports no more than one billing unit.
Verification. Question resolution requires a substantive answer and either explicit confirmation or evaluator approval. No follow-up alone is insufficient. A no-follow-up evaluation also requires at least 72 hours without an unresolved signal. Qualification, demo booking, and callback arrangement require the corresponding persisted workflow evidence.
Allowances and overage. Starter, Grow, and Scale include 100, 300, and 1,000 Verified AI Outcomes respectively in each monthly usage period. Additional Verified AI Outcomes cost €0.49 each when the Customer enables pay-as-you-go. Annual base subscriptions retain monthly usage periods and monthly overage reconciliation. Unlimited teammates are included without seat fees.
Trial. The 14-day trial includes up to 100 Verified AI Outcomes and cannot create overage charges. At the allowance, public AI pauses and follows the Customer's saved Team-led, contact-form, or hide fallback until a paid plan is selected.
Proactive invitations, impressions, Smartbar opens, greetings, dismissals, attempts, failed actions, tests, and Human-only activity do not create billable outcomes. A reversed billed outcome is credited according to the applicable billing record.
You must take reasonable steps to protect login credentials and access keys. Adealo is not responsible for unauthorized access caused by your failure to secure your account.
Certain features require a paid subscription.
You may not use the Service to:
Adealo may investigate suspected violations and suspend or terminate access to protect the Service, other customers, or comply with legal obligations.
"Customer Data" means all data, content, and information submitted to the Service by or on behalf of you, including end-user communications.
You are solely responsible for:
Adealo processes Customer Data only to provide and operate the Service and as described in these Terms and the Privacy Statement.
For Customer Data processed through the Service:

The Service may include AI-powered features that generate or assist with responses, summaries, or automation.
AI features process Customer Data solely to deliver the requested functionality.
Customer Data is not used to train public or general-purpose AI models.
Adealo configures supported OpenAI API requests with application storage disabled and does not opt Customer Data into model training. OpenAI documents the applicable retention controls and limited exceptions in its API data controls.
AI outputs may be inaccurate or incomplete. You are responsible for reviewing outputs before use.
Workspace administrators may set AI to Disabled, Internal only, or Visitor enabled. Disabled prevents generative model processing in visitor replies, Copilot, summaries, previews, and classifications. Internal only permits internal testing but not visitor AI. Visitor enabled still requires applicable launch, coverage, subscription, and capacity gates.
Adealo implements reasonable technical and organizational measures designed to protect Customer Data, including encryption in transit and access controls.
No system is completely secure. You acknowledge that use of the Service involves inherent security risks.
The Service may integrate with or rely on third-party services. Your use of those services is governed by their own terms. Adealo is not responsible for third-party services or data handled by them outside Adealo's control.
Adealo and its licensors retain all rights, title, and interest in the Service, including software, designs, and documentation.
You retain ownership of Customer Data. You grant Adealo a limited license to host, process, transmit, and display Customer Data solely to provide and improve the Service and fulfill its obligations.
Each party agrees to protect the other's confidential information and to use it only for purposes related to the Service. Confidential information does not include information that is publicly available or independently developed.
The Service is provided "as is" and "as available."
To the maximum extent permitted by law, Adealo disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

You may cancel your subscription at any time according to your billing settings.
Adealo may suspend or terminate access if you materially breach these Terms, fail to pay fees, or if required to comply with law or protect the Service.
These Terms are governed by the laws of Estonia, excluding conflict-of-law principles.
