Adealo Terms of Service

These Terms of Service ("Terms") govern access to and use of Adealo's software platform, including our website, dashboard, APIs, integrations, customer messaging widget, and AI-powered features (collectively, the "Service").

By creating an account, using the Service, or accepting these Terms, you agree to be bound by them.

If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity. In that case, "Customer," "you," and "your" refer to that entity.

2. The Service

Adealo provides customer communication and support software, including real-time messaging widgets, dashboards, automation tools, and AI-assisted features.

We may modify, update, or improve the Service over time. We may add or remove features or functionality, provided that we do not materially reduce the core functionality of paid subscriptions during an active billing period.

3. Accounts and access

You are responsible for:

• maintaining accurate account information,
• ensuring that only authorized users access your account,
• all activity that occurs under your account.

You must take reasonable steps to protect login credentials and access keys. Adealo is not responsible for unauthorized access caused by your failure to secure your account.

4. Subscriptions, billing, and payments

Certain features require a paid subscription.

• Fees are billed in advance on a recurring basis (monthly or annually).
• Subscriptions automatically renew unless canceled before the renewal date.
• Payments are processed by Stripe. Adealo does not store full payment card details.
• Fees are non-refundable except where required by law.
• You are responsible for applicable taxes, duties, or government charges, excluding taxes on Adealo's income.
• Adealo may suspend access to the Service for overdue payments after providing reasonable notice.

5. Acceptable use

You may not use the Service to:

• violate any applicable law or regulation;
• infringe intellectual property or privacy rights;
• transmit malware, spam, or abusive content;
• interfere with or disrupt the Service or its security;
• reverse engineer, copy, or attempt to derive source code except where legally permitted;
• build or benchmark a competing product without Adealo's written consent.

Adealo may investigate suspected violations and suspend or terminate access to protect the Service, other customers, or comply with legal obligations.

6. Customer Data and responsibilities

"Customer Data" means all data, content, and information submitted to the Service by or on behalf of you, including end-user communications.

You are solely responsible for:

• the legality of Customer Data,
• providing required notices and obtaining consents from end users,
• ensuring you have a lawful basis to collect and process Customer Data,
• the accuracy and suitability of Customer Data for your purposes.

Adealo processes Customer Data only to provide and operate the Service and as described in these Terms and the Privacy Statement.

7. Data protection roles

For Customer Data processed through the Service:

• You act as the data controller, determining purposes and means of processing.
• Adealo acts as a data processor, processing data only on your documented instructions.

Further details are described in Adealo's Data Processing Addendum (DPA), which will be made available separately.

8. AI features

The Service may include AI-powered features that generate or assist with responses, summaries, or automation.

AI features process Customer Data solely to deliver the requested functionality.

Customer Data is not used to train public or general-purpose AI models.

Prompts and outputs are not stored outside Adealo, cached, or retained for training purposes.

AI outputs may be inaccurate or incomplete. You are responsible for reviewing outputs before use.

9. Security

Adealo implements reasonable technical and organizational measures designed to protect Customer Data, including encryption in transit and access controls.

No system is completely secure. You acknowledge that use of the Service involves inherent security risks.

10. Third-party services

The Service may integrate with or rely on third-party services. Your use of those services is governed by their own terms. Adealo is not responsible for third-party services or data handled by them outside Adealo's control.

11. Intellectual property

Adealo and its licensors retain all rights, title, and interest in the Service, including software, designs, and documentation.

You retain ownership of Customer Data. You grant Adealo a limited license to host, process, transmit, and display Customer Data solely to provide and improve the Service and fulfill its obligations.

12. Confidentiality

Each party agrees to protect the other's confidential information and to use it only for purposes related to the Service. Confidential information does not include information that is publicly available or independently developed.

13. Disclaimers

The Service is provided "as is" and "as available."

To the maximum extent permitted by law, Adealo disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14. Limitation of liability

To the maximum extent permitted by law:

• Adealo will not be liable for indirect, incidental, consequential, or punitive damages.
• Adealo's total liability for any claims in a 12-month period will not exceed the total fees paid by you during that period.

15. Indemnification

You agree to defend and indemnify Adealo against third-party claims arising from:

• Customer Data,
• your use of the Service in violation of these Terms or applicable law,
• your products or services.

16. Termination

You may cancel your subscription at any time according to your billing settings.

Adealo may suspend or terminate access if you materially breach these Terms, fail to pay fees, or if required to comply with law or protect the Service.

17. Governing law

These Terms are governed by the laws of Estonia, excluding conflict-of-law principles.
